IMPORTANT: These Terms of Service ("Terms") constitute a legally binding agreement between you and UNI. Please read them carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.
1. Acceptance of Terms
Welcome to UNI. By downloading, installing, accessing, or using the UNI mobile application and related services (collectively, the "Service"), you agree to comply with and be bound by these Terms of Service.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use after changes indicates acceptance of the revised Terms.
2. Description of Service
UNI is a personal safety application that provides:
- SOS Alerts: Emergency notifications sent to your designated Safety Network contacts with location sharing
- Safety Network: A trusted circle of family and friends who receive your emergency alerts
- Good Neighbours: Community assistance features connecting you with nearby users for mutual help
- Alerts Map: Real-time safety alerts and incident reporting in your area
- Location Sharing: Ability to share your real-time location with trusted contacts
CRITICAL NOTICE: UNI is designed to help you stay connected with your safety network and community. However, it is NOT a replacement for emergency services. In a life-threatening emergency, always call your local emergency services directly (such as your local emergency number). UNI's features may experience delays, failures, or technical issues and should not be relied upon as your sole means of emergency response.
3. Eligibility
You must meet the following requirements to use the Service:
- Be at least 13 years old (or 16 in certain jurisdictions such as the EEA)
- If you are under 18, have obtained permission from your parent or legal guardian
- Have the legal capacity to enter into this agreement
- Not be prohibited from using the Service under applicable laws
By using the Service, you represent and warrant that you meet all eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate and current
- Keep your account credentials (password) secure and confidential
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
4.2 Account Responsibility
You are solely responsible for:
- Maintaining the security of your account credentials
- All actions taken through your account, whether authorized by you or not
- Any losses resulting from unauthorized use of your account
We are not liable for any loss or damage resulting from your failure to maintain account security or your failure to notify us of unauthorized access.
5. Subscription Plans and Payment
5.1 Free Plan
Our Free plan provides basic safety features at no cost, including:
- Emergency Safety Profile creation
- Limited Safety Network contacts (up to 3)
- Real-time community alerts viewing
- Basic incident reporting
5.2 Solo Plan (Paid Subscription)
The Solo plan ($4.99/month or as otherwise priced) offers premium features including:
- Unlimited Safety Network contacts
- Good Neighbours notifications to nearby helpers
- Advanced location sharing capabilities
- Priority customer support
- Real-time incident tracking
5.3 Payment Terms
- Subscriptions are billed monthly or annually in advance through your app store account (Apple App Store or Google Play Store)
- Payments are processed by the app store, not directly by UNI
- Subscriptions automatically renew unless cancelled before the renewal date
- Price changes will be communicated at least 30 days in advance
- All fees are non-refundable except as required by law or as stated in these Terms
5.4 Free Trial
We may offer a 7-day free trial for the Solo plan. During the trial:
- You will have full access to Solo features
- You will not be charged during the trial period
- If you do not cancel before the trial ends, you will be automatically charged for a subscription
- You may cancel at any time during the trial without charge
5.5 Cancellation and Refunds
- You can cancel your subscription at any time through your app store account settings
- Cancellation takes effect at the end of your current billing period
- You retain access to Solo features until the end of your paid period
- No refunds or credits for partial subscription periods, except as required by law
- If you believe you are owed a refund, contact your app store's customer service
6. Acceptable Use Policy
6.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service responsibly and for its intended purpose of personal safety and community assistance.
6.2 Prohibited Activities
You agree NOT to:
- Send False Alerts: Activate SOS alerts or submit incident reports that are false, fraudulent, or made in bad faith
- Harass or Harm Others: Use the Service to harass, abuse, threaten, or harm other users
- Impersonate: Impersonate any person or entity, or falsely claim an affiliation
- Violate Privacy: Share another user's information without their consent
- Misuse Features: Use Good Neighbours or Safety Network features for purposes other than legitimate safety and assistance
- Spam or Abuse: Send unsolicited communications or abuse the notification system
- Illegal Activities: Use the Service for any illegal purpose or to violate any laws
- Unauthorized Access: Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Interfere with Service: Interfere with or disrupt the Service or servers/networks connected to the Service
- Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive source code
- Commercial Use: Use the Service for commercial purposes without our written consent
- Automated Access: Use bots, scrapers, or other automated means to access the Service
- Remove Notices: Remove any copyright, trademark, or proprietary notices
6.3 Consequences of Violation
Violation of this Acceptable Use Policy may result in:
- Immediate termination of your account without notice
- Removal from the Service permanently
- Legal action and reporting to law enforcement authorities
- Liability for damages caused by your violation
7. User Content and Conduct
7.1 Your Content
You retain ownership of content you submit through the Service, including:
- Incident reports and safety alerts
- Messages sent through the Service
- Profile information and emergency notes
By submitting content, you grant UNI a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display such content solely to:
- Provide and operate the Service
- Improve and develop the Service
- Comply with legal obligations
7.2 Content Standards
All user content must:
- Be accurate and truthful (especially incident reports and emergency information)
- Comply with all applicable laws and regulations
- Not infringe on any third-party rights (intellectual property, privacy, etc.)
- Not contain harmful, offensive, or inappropriate material
- Not contain malware, viruses, or malicious code
7.3 Content Moderation
We reserve the right to:
- Review and moderate user content
- Remove content that violates these Terms or is otherwise objectionable
- Suspend or terminate accounts that repeatedly violate content standards
We are not obligated to monitor content but reserve the right to do so. Removal of content does not constitute an admission of liability.
8. Service Limitations and Disclaimer
READ CAREFULLY - IMPORTANT LIMITATIONS:
UNI is a communication and safety tool designed to connect you with your network and community. It is NOT a replacement for emergency services and should NOT be relied upon as your sole means of emergency response.
8.1 No Guarantees
We do not guarantee that:
- SOS alerts will be delivered successfully, completely, or in a timely manner
- Your Safety Network contacts or Good Neighbours will respond to alerts
- The Service will be uninterrupted, error-free, or available at all times
- Location tracking will be accurate in all circumstances
- Incident reports on the Alerts Map are accurate or complete
- Good Neighbours will be available in your area when needed
8.2 Technical Limitations
The Service depends on factors beyond our control:
- Internet Connectivity: Requires active cellular or WiFi connection
- GPS Accuracy: Location accuracy may vary based on environmental factors, device capabilities, and GPS signal strength
- Device Functionality: Requires compatible device with working GPS, camera, and notification capabilities
- Third-Party Services: Relies on third-party services (telecommunications, mapping, push notifications) that may fail
- Response Times: Response times from contacts and community members are beyond our control
8.3 User Responsibility
You are responsible for:
- Understanding the Service's limitations
- Maintaining internet connectivity and device functionality
- Having alternative emergency contact methods
- Calling emergency services directly in life-threatening situations
- Keeping your Safety Network contacts informed and updated
9. Intellectual Property Rights
9.1 Our Intellectual Property
The Service and all content, features, and functionality are owned by UNI and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
This includes but is not limited to:
- The UNI name, logo, and branding
- Software, code, and algorithms
- Design, layout, and user interface
- Text, graphics, images, and other content
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and use the mobile application on your personal device
- Access and use the Service for personal, non-commercial purposes
This license does not include the right to:
- Copy, modify, or create derivative works
- Distribute, sell, or sublicense the Service
- Use our trademarks or branding without permission
- Remove any copyright or proprietary notices
10. Third-Party Services and Links
The Service may integrate with or contain links to third-party services:
- Social media platforms
- Mapping services (Apple Maps, Google Maps)
- Telecommunications providers
- Payment processors
We are not responsible for:
- The availability, accuracy, or content of third-party services
- The practices or policies of third parties
- Any damages resulting from third-party services
Your use of third-party services is subject to their terms and privacy policies.
11. Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
12. Disclaimers and Limitation of Liability
12.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Course of performance or usage of trade
12.2 No Warranty
WE DO NOT WARRANT THAT:
- The Service will meet your requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- Results obtained from use of the Service will be accurate or reliable
- Defects will be corrected
- The Service is free of viruses or harmful components
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNI SHALL NOT BE LIABLE FOR ANY:
- Indirect, Incidental, Special, Consequential, or Punitive Damages
- Loss of Profits, Revenue, Data, Use, Goodwill, or Other Intangible Losses
- Damages Resulting From:
- Your use or inability to use the Service
- Unauthorized access to or alteration of your data
- Statements or conduct of third parties on the Service
- Interruption or cessation of the Service
- Bugs, viruses, or harmful code transmitted through the Service
- Errors or omissions in content
- Failure to receive assistance or delays in response from your network or community
- Reliance on information provided by the Service
MAXIMUM LIABILITY: IN NO EVENT SHALL UNI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE GREATER OF:
- The amount you paid to UNI in the twelve (12) months prior to the action giving rise to liability, OR
- One hundred dollars ($100 USD)
These limitations apply whether liability arises from contract, tort (including negligence), strict liability, or any other legal theory, and whether or not UNI has been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless UNI, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your content submitted through the Service
- Your negligent or willful misconduct
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
14. Modifications to the Service
We reserve the right to:
- Modify, suspend, or discontinue any feature of the Service at any time
- Change pricing for subscription plans with 30 days' notice
- Update the Service to comply with legal requirements
- Add new features or remove existing features
- Impose limits on certain features or restrict access to parts of the Service
We will make reasonable efforts to notify you of material changes that negatively affect your use of the Service.
15. Termination
15.1 Termination by You
You may terminate your account at any time by:
- Going to App Settings → Account → Delete Account
- Emailing us at support@nga911.com
- Uninstalling the app and requesting account deletion
15.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:
- Violation of these Terms or Acceptable Use Policy
- Fraudulent, abusive, or illegal activity
- Repeated false SOS alerts or incident reports
- Extended periods of inactivity (12+ months)
- Request by law enforcement or court order
- At our discretion for any other reason
15.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- Your account and data will be deleted per our Privacy Policy
- You will be removed from all Safety Networks
- No refunds will be provided for unused subscription time (except as required by law)
- Certain provisions of these Terms will survive (indemnification, disclaimers, limitations of liability, dispute resolution)
16. Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
16.2 Informal Resolution
Before filing a claim, you agree to contact us at support@nga911.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.
16.3 Binding Arbitration
If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by [Arbitration Organization] in accordance with its rules, except:
- Either party may seek injunctive relief in court for infringement of intellectual property rights
- Disputes involving less than $10,000 may be resolved in small claims court
16.4 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND UNI INDIVIDUALLY. YOU WAIVE ANY RIGHT TO:
- Participate in a class action lawsuit or class-wide arbitration
- Act as a class representative or member
- Consolidate your dispute with disputes of other users
16.5 Opt-Out of Arbitration
You may opt out of arbitration by sending written notice to support@nga911.com within 30 days of first using the Service.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and UNI regarding the Service.
17.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:
- Acts of God, natural disasters, pandemics
- War, terrorism, riots, civil unrest
- Government actions or restrictions
- Telecommunications or internet failures
- Third-party service failures
17.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
18. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms in the app
- Sending you an email notification
- Displaying a prominent notice upon login
- Push notification for significant changes
The "Last Updated" date indicates when the Terms were most recently revised. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
